Welcome to prapthi.ai (the "Platform", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the prapthi.ai website, services, and AI-generated audio outputs.

By accessing, browsing, or using prapthi.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our Platform.

1. Introduction and Acceptance

prapthi.ai is a GPU-powered text-to-speech (TTS) platform offering over 1,000 high-quality voices. We provide a permanent Free tier that requires no credit card or API keys, as well as optional paid Pricing tiers (Mid, Elite, and Custom) for users who require advanced features, higher character limits, voice cloning, and commercial usage rights. By using this site, you automatically agree to these Terms. These Terms constitute a legally binding agreement between you and prapthi.ai.

2. Description of Service and Pricing

Our Platform operates on a freemium model.

• Free Tier: Provided at no cost with baseline character limits and standard voices.
• Paid Tiers: Users may choose to upgrade to paid subscriptions (Mid, Elite, or Custom) as detailed on our Pricing page. Upgrading constitutes agreement to our billing, subscription, and cancellation terms.
• Service Availability: While we strive to generate high-quality, natural-sounding speech, the service is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, or perfectly accurate at all times, despite its high performance in most scenarios.

3. User Eligibility

You must be at least 12 years of age to use this Platform.

• If you are between 12 and 17 years old, you may only use the service under the direct supervision and with the explicit, verifiable consent of a parent or legal guardian.
• The parent or legal guardian must agree to these Terms on your behalf, take full responsibility for your use of the Platform, and authorize any financial transactions (such as upgrading to a paid tier).
• By using the Platform, you represent and warrant that you meet these age requirements and that you will comply with all applicable laws of India.

4. Intellectual Property and Copyright Protection

• Ownership: All underlying AI models, voice profiles, technology, software, algorithms, and the prapthi.ai website itself are the exclusive property of prapthi.ai or its licensors, protected by Indian and international intellectual property laws.
• Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the generated audio. Free tier users may use generated audio strictly for personal or non-commercial purposes. Paid tier users receive commercial usage rights as explicitly defined in their chosen subscription plan.
• Restrictions: You may not copy, modify, distribute, sell, lease, or claim ownership of the voices, the TTS system, or the underlying technology.
• User Responsibility: You are solely responsible for ensuring that the text you input does not infringe on any third-party rights. If you input copyrighted material or attempt to generate voices that mimic protected works, celebrities, or public figures without authorization, you are solely liable for any infringement under The Copyright Act, 1957.
• Takedown and Suspension: prapthi.ai respects third-party intellectual property rights. If we receive a valid report of copyright infringement, we reserve the right to immediately remove the content and/or suspend or terminate your account without notice.
• Indemnification for IP: You agree to indemnify and hold prapthi.ai harmless from any copyright or intellectual property claims arising from your use of the Platform.

5. User Content and License

• Your Input: You retain ownership of the original text and content you input into the Platform.
• License to prapthi.ai: By submitting content, you grant prapthi.ai a worldwide, royalty-free, perpetual, and non-exclusive license to use, process, store, and analyze your input text and the resulting generated outputs. This is strictly for the purpose of operating the Platform, improving our services, training our AI models, and preventing abuse.
• AI Output Ownership: While you own your original input text, you do not own the AI-generated voice audio if it is produced using prapthi.ai's proprietary models. The audio output remains subject to the limited license described in Section 4.

6. Prohibited Uses

You agree not to use the Platform for any unlawful or prohibited purpose, including but not limited to:

• Using the service for any illegal activities or in violation of any local, state, or national laws, including the Bharatiya Nyaya Sanhita, 2023.
• Spamming, scraping, or overloading the Platform's infrastructure.
• Reverse-engineering, decompiling, or attempting to extract the source code or underlying models of the TTS system.
• Using the Platform to build, train, or support a competing text-to-speech or AI voice service.
• Generating content that is harmful, abusive, defamatory, misleading, fraudulent, or that infringes on the rights of others.

7. Fair Usage and Limits

Although prapthi.ai offers a generous Free tier and scalable paid tiers, we reserve the right to impose reasonable usage limits (e.g., character counts, generation frequency, or API rate limits) to prevent system abuse, ensure fair access for all users, and maintain server stability. Excessive or abusive use may result in temporary blocks, rate-limiting, or permanent account suspension at our sole discretion.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your personal data are governed by our separate Privacy Policy, which is incorporated into these Terms by reference. We handle all personal data in strict compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act). By using the Platform, you consent to such data processing.

9. Disclaimers and No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAPTHI.AI AND ITS AFFILIATES PROVIDE THE PLATFORM "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE GENERATED VOICES WILL BE PERFECT, ERROR-FREE, OR SUITABLE FOR ANY SPECIFIC USE CASE.

10. Limitation of Liability

TO THE FULLEST EXTENT ALLOWED BY INDIAN LAW, PRAPTHI.AI, ITS DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE PLATFORM OR THE GENERATED AUDIO.

11. Indemnification

You (and your parent/guardian, if you are a minor) agree to defend, indemnify, and hold harmless prapthi.ai, its parent company (Legal Care AI Pvt Ltd), affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms, your misuse of the Platform, or your infringement of any third-party rights (including copyright).

12. Termination

We reserve the right to suspend or terminate your access to the Platform, at our sole discretion, at any time and for any reason, including but not limited to violations of these Terms, suspected fraudulent activity, payment disputes, or abusive behavior. Termination may occur with or without prior notice to you.

13. Changes to Terms and Pricing

We reserve the right to modify, update, or replace these Terms, as well as our Pricing structure, at any time. We will notify users of significant changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of the Platform after any such changes constitutes your unconditional acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions.

• Jurisdiction: Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
• Arbitration: At our sole discretion, we may elect to resolve any dispute through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Hyderabad in the English language.
